Xigem Technologies Announces Shares for Debt Transaction

TORONTO, November 29, 2022 – Xigem Technologies Corporation (“Xigem” or the “Company”) (CSE:XIGM; FSE:VZ6), a technology provider for the emerging remote economy, today announced that it has entered into debt settlement agreements with three arm’s length creditors whereby the Company will settle outstanding payables totalling $361,229 through the issuance of 4,515,363 common shares of the Company (each a “Share”) at a deemed price of $0.08 per Share (the “Debt Settlement”).
Save except for 353,125 Shares which will be issued pursuant to prospectus exemptions contained in section 2.24 of National Instrument 45-106 – Prospectus and Registration Exemptions, which shall not be subject to resale restrictions under applicable Canadian securities laws (other than as applicable to control persons, pursuant to section 2.6 of National Instrument 45-102 – Resale of Securities, the (remaining) Shares will be subject to a four-month hold period in accordance with applicable securities laws. All share issuances are subject to applicable regulatory approval, including the approval of the Canadian Securities Exchange.
